1. Agreement to Terms

By accessing or using fdbck guru ("the Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms constitute a legally binding agreement between you and Indigo Labs Limited, governed by the laws of England and Wales.

2. Description of Service

fdbck guru is a real-time presentation feedback platform that enables presenters to receive audience engagement data during live presentations. The Service includes:

• Creation and management of presentation sessions
• Real-time audience feedback collection
• Analytics and reporting features
• Various subscription tiers with different feature sets

3. Account Registration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your password and accept all risks of unauthorised access
• Notify us immediately of any unauthorised use of your account

You are responsible for all activity that occurs under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription Plans and Billing

4.1 Subscription Tiers

We offer different subscription tiers:

• Free: Limited features with session restrictions
• Casual: For occasional presenters
• Professional: For regular presenters
• Enterprise: For organisations and frequent speakers

4.2 Payment Terms

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are inclusive of taxes unless stated otherwise
• Payment is processed securely through Stripe
• You authorise us to charge your payment method for all applicable fees

4.3 Refunds and Cancellations

• You may cancel your subscription at any time through your account settings
• Cancellation takes effect at the end of the current billing period
• No refunds are provided for partial months or years
• Downgrading takes effect at the end of the current billing period

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable laws or regulations
• Infringe upon intellectual property rights
• Transmit harmful, offensive, or inappropriate content
• Attempt to gain unauthorised access to any part of the Service
• Interfere with or disrupt the Service or servers
• Collect or harvest user information without consent
• Use the Service for any illegal or unauthorised purpose
• Resell or redistribute the Service without permission

6. Intellectual Property Rights

The Service and its original content, features, and functionality are owned by Indigo Labs Limited and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you create using the Service. By using the Service, you grant us a limited, non-exclusive licence to store, process, and display your content solely for providing the Service to you.

6.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service becomes our property and may be used without compensation to you.

7. Privacy and Data Protection

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

8. Disclaimers and Limitations of Liability

8.1 Service Availability

To the maximum extent permitted by law, Indigo Labs Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or use.

Our total liability for any claims relating to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

8.3 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, or acts of civil or military authorities.

9. Indemnification

You agree to indemnify and hold harmless Indigo Labs Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or presentations

10. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Non-payment of fees
• Fraudulent or illegal activity
• At our sole discretion

Upon termination, your right to use the Service will cease immediately. We may delete your account and data after termination.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

12. Governing Law and Disputes

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good faith negotiations. If unsuccessful, disputes shall be resolved through the courts of England and Wales.
